1. Acceptance of Terms
By creating an account, accessing Amadeuz, chatting with an AI companion, creating a companion, uploading content, publishing a companion, buying a plan, or otherwise using the service, you agree to these Terms of Service and all policies referenced by them. If you do not agree, you must not use Amadeuz.
These Terms form a binding agreement between you and Amadeuz. When these Terms use “Amadeuz,” “we,” “us,” or “our,” they refer to the operator of the Amadeuz service. When these Terms use “you,” they refer to the person or entity using the service.
2. Eligibility and Age Requirement
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Amadeuz. Amadeuz is not directed to minors. You may not create an account, use the service, create a companion, upload content, or purchase a plan if you are under the required age.
If you use Amadeuz on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
3. Service Description
Amadeuz provides AI companion experiences, including text chat, voice replies, animated or image-based companion appearances, memory features, public companion discovery, user-created companions, companion profiles, knowledge entries, uploaded icons, optional custom voice features, ratings, reports, and subscription-based access levels.
Features may differ by plan, device, region, platform, account status, technical availability, and safety requirements. Some features may be experimental, may change, and may be removed or limited at any time.
4. AI Outputs, Mature Content, and Reliance
Amadeuz companions are AI systems, not humans. AI-generated text, audio, personality behavior, memories, and companion reactions may be inaccurate, fictional, offensive, explicit, unsafe, biased, incomplete, or inconsistent. Amadeuz does not guarantee that any AI output is true, lawful, safe, appropriate, original, or suitable for any particular purpose.
Amadeuz is designed for expressive, user-directed AI companion conversation. You may encounter mature, provocative, upsetting, or offensive material, especially when users create public companions or direct conversations in that direction. You are responsible for your prompts, your use of outputs, and your decision to rely on or share outputs.
AI outputs are not legal, medical, mental health, financial, tax, professional, emergency, or safety advice. Do not rely on Amadeuz for high-stakes decisions. If you need professional or emergency help, contact qualified professionals or emergency services.
5. Accounts, Security, and Access
You are responsible for maintaining control of your login credentials, devices, and account sessions. You are responsible for all activity performed through your account, whether or not you authorized it, unless applicable law provides otherwise.
You agree to provide accurate registration information, keep your account information reasonably current, and promptly notify us if you believe your account has been compromised. We may require email verification, session refresh, age confirmation, payment verification, or other checks before allowing access to certain features.
6. Companion Creation and Creator Responsibility
Amadeuz may allow you to create, edit, publish, unpublish, delete, rate, report, or chat with AI companions. A companion may include a name, description, persona, speaking style, boundaries, tags, knowledge entries, example turns, starter messages, icon image, default voice choice, custom voice assets, visibility settings, and appearance settings.
You are solely responsible for every companion you create, every setting you choose, and every item of content you submit for that companion. You must ensure that your companion, uploaded assets, voice, persona, knowledge, and public listing do not violate law, these Terms, platform policies, or anyone else’s rights.
Amadeuz may review, classify, restrict, delist, unpublish, remove, disable, or delete any companion, upload, listing, tag, voice, image, or account when we believe there is legal risk, safety risk, rights risk, policy violation, technical abuse, or harm to Amadeuz, users, third parties, or the public.
7. User Content and Uploaded Assets
“User Content” means anything you submit, upload, provide, publish, or make available through Amadeuz, including prompts, chat messages, companion profiles, companion names, descriptions, persona text, knowledge entries, example turns, images, icons, audio recordings, transcripts, voice assets, reports, ratings, and feedback.
You retain any rights you lawfully own in your User Content. You grant Amadeuz a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, copy, process, adapt, format, transcode, analyze, create technical representations from, display, transmit, publish, distribute, perform, and otherwise use your User Content as necessary to operate, provide, secure, improve, moderate, promote, and support Amadeuz and related features.
For public or unlisted companions, this license includes permission for Amadeuz to display the companion to other users and allow other users to chat with, hear, view, rate, report, and receive outputs from that companion. For private companions, this license is limited to operating and improving the service unless you later publish or share the companion.
You represent and warrant that you have all rights, permissions, licenses, consents, and releases needed to submit the User Content and grant the rights described in these Terms. You may not submit User Content that infringes intellectual property rights, privacy rights, publicity rights, contract rights, confidentiality duties, platform rules, or applicable law.
8. Custom Voice, Image, Name, and Likeness Rights
Custom voice and uploaded image features create special legal risks. If you upload a voice recording, transcript, image, name, likeness, character, avatar, or other asset connected to a real person, fictional character, brand, performer, creator, or rights holder, you represent and warrant that you have all required rights and permissions for that specific use.
For voice uploads, your permission must cover recording, uploading, storing, processing, analyzing, converting, cloning, synthesizing, imitating, generating, reproducing, distributing, displaying, performing, and making voice-based outputs available through Amadeuz, including use by other users if the companion is public or unlisted. A general permission to possess a recording is not enough.
You may not upload or use another person’s voice, face, image, name, stage name, signature, likeness, persona, or recognizable identity unless you have that person’s prior permission and any rights-holder permission required for commercial, synthetic, AI, companion, public listing, and voice-generation uses. This applies to living people, deceased people where protected by law, public figures, celebrities, influencers, creators, streamers, actors, musicians, private individuals, and minors.
You may not create a companion, voice, image, profile, or output intended to impersonate someone, mislead users into thinking a real person endorsed or controls a companion, commit fraud, evade detection, harass, exploit, or damage someone’s reputation. You may not use Amadeuz to generate or distribute unauthorized intimate images, sexual deepfakes, child sexual abuse material, or sexualized content involving minors.
Checking a rights-confirmation box, submitting a transcript, or passing an upload screen does not mean Amadeuz has verified your rights. You remain responsible if your upload or companion violates another person’s rights. We may request proof of permission, disable monetization or publication, remove the asset, suspend your account, preserve records, or disclose information when legally required.
9. Public Companions, Marketplace Listings, and User Interactions
Public companions may be visible in Amadeuz discovery, search, marketplace, preview cards, rating systems, report flows, and other product surfaces. If you publish a companion, you authorize Amadeuz to make that companion and its permitted assets available to other users for discovery, chat, voice replies, previews, and related service features.
Public availability does not mean Amadeuz endorses, sponsors, verifies, or accepts responsibility for a companion, its creator, its rights status, its safety, its accuracy, or its outputs. Users interact with public companions at their own risk.
We may rank, recommend, hide, label, age-gate, restrict, delist, demonetize, or remove public companions based on popularity, reports, safety signals, legal risk, quality, account status, technical limits, or business needs.
10. Prohibited Use
You may not use Amadeuz, User Content, companions, voice features, uploaded images, generated outputs, or public listings to:
- violate any law, regulation, court order, third-party right, contract, or platform rule;
- infringe copyright, trademark, trade secret, moral rights, privacy rights, publicity rights, performer rights, voice rights, image rights, or other intellectual property or personal rights;
- impersonate a person, organization, government, brand, platform, celebrity, influencer, creator, or private individual without permission;
- create, request, upload, publish, distribute, or facilitate child sexual abuse material, sexual exploitation of minors, grooming, or sexualized content involving minors;
- create, request, upload, publish, distribute, or facilitate non-consensual intimate images, sexual deepfakes, revenge pornography, voyeuristic content, or threats to expose intimate content;
- harass, stalk, threaten, shame, exploit, blackmail, dox, defame, or target others for abuse;
- commit fraud, scams, phishing, identity theft, payment abuse, deceptive endorsements, unauthorized advertising, spam, or market manipulation;
- seek instructions for serious physical harm, weapons misuse, self-harm facilitation, illegal drug manufacturing, evading law enforcement, or other dangerous illegal activity;
- upload malware, malicious code, corrupted files, illegal content, or content designed to bypass moderation, safety, rate limits, or access controls;
- scrape, harvest, reverse engineer, probe, overload, attack, resell, or misuse Amadeuz systems, accounts, APIs, models, audio streams, or infrastructure;
- remove, obscure, or misrepresent AI-generated nature, ownership, source, or rights information where disclosure is required; or
- use Amadeuz in a way that could expose Amadeuz, users, or third parties to legal, security, reputational, or operational harm.
11. Reports, Rights Complaints, and Takedowns
Users and rights holders may report companions, uploads, outputs, images, voice assets, impersonation, copyright issues, privacy issues, publicity-right issues, non-consensual intimate content, abuse, or other violations through available report tools or by contacting Amadeuz.
A useful report should identify the content, explain the issue, provide links or screenshots when available, identify the affected person or rights holder, include proof of authority when submitted by a representative, and include contact information for follow-up. For voice, image, likeness, or impersonation complaints, include enough information for us to compare the reported content to the person or asset at issue.
For copyright complaints, include the copyrighted work claimed to be infringed, the allegedly infringing content, your contact information, a statement that you have a good-faith belief the use is not authorized, a statement that the information is accurate under penalty of perjury, and your physical or electronic signature. Counter-notices must include the information required by applicable copyright law.
Amadeuz may remove or restrict content while reviewing a report. We may also reject reports that are incomplete, abusive, fraudulent, or unsupported. We may forward report details to the affected creator, service providers, law enforcement, payment processors, app stores, or other parties when necessary or legally required.
Amadeuz may report apparent child exploitation, imminent harm, fraud, or other unlawful activity to appropriate authorities or required reporting systems. If you see content involving minors, non-consensual intimate content, unauthorized voice or likeness use, or copyright infringement, report it immediately.
12. Plans, Usage Limits, Subscriptions, and Billing
Free and paid plans may include different daily message limits, companion creation permissions, private companion access, custom voice access, priority features, early features, and other benefits. The features, limits, and prices shown in the product or checkout flow control for that purchase at the time of purchase.
Paid subscriptions, upgrades, downgrades, cancellations, renewals, refunds, tax handling, invoices, and payment failures may be processed by third-party billing providers, including web payment processors and mobile app stores. Those providers’ terms may also apply. Amadeuz is not responsible for payment processor or app store errors, delays, restrictions, chargebacks, or account actions.
Unless the checkout flow, applicable law, or billing provider rules say otherwise, paid fees are non-refundable, subscriptions renew automatically until cancelled, and access continues until the end of the paid period after cancellation. We may change plans, limits, prices, and features prospectively.
13. Amadeuz Platform Rights
Amadeuz and its licensors own the service, website, software, interfaces, designs, logos, names, trademarks, default companions, default voices, default character assets, Live2D or animated assets, systems, models, prompts, workflows, code, and other platform materials, except for User Content owned by users or third parties.
You may not copy, sell, license, redistribute, frame, mirror, reverse engineer, extract, or commercially exploit Amadeuz platform materials unless we give written permission. You receive only a limited, revocable, non-transferable right to use Amadeuz as made available under these Terms.
Rights in AI outputs may be uncertain and may depend on applicable law, your contribution, third-party rights, and the specific content involved. Amadeuz does not guarantee that outputs are protectable, original, non-infringing, exclusive, or commercially usable.
14. Privacy, Memories, Moderation, and Safety Review
Amadeuz may process prompts, chats, memory items, companion settings, uploaded assets, reports, account information, usage data, and technical logs to provide the service, maintain safety, enforce these Terms, prevent abuse, improve reliability, support users, and comply with legal obligations.
Companion memory features may store summaries, facts, preferences, or conversation context so companions can respond with continuity. You are responsible for the personal information you choose to share. Do not submit sensitive information unless you are comfortable with it being processed by the service.
We may use automated systems, human review, third-party vendors, hash-matching tools, metadata, reports, or safety signals to detect rights violations, security threats, illegal content, policy violations, payment abuse, and other misuse.
15. Service Availability and Changes
Amadeuz may change, suspend, limit, throttle, disable, or discontinue any feature, companion, upload, model, voice option, plan, listing, or integration at any time. Access may be affected by maintenance, third-party providers, billing systems, app stores, network conditions, GPU capacity, storage systems, moderation review, legal requests, or account status.
We do not guarantee uninterrupted access, permanent storage, specific response times, voice availability, compatibility with every device, or preservation of every chat, companion, memory, upload, or output.
16. Disclaimers
To the maximum extent allowed by law, Amadeuz is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, and error-free performance.
We do not warrant that companions, uploads, voices, generated audio, generated text, public listings, memory, reports, moderation decisions, or outputs will meet your expectations, be lawful for your use, or be free from harmful, offensive, infringing, or inaccurate material.
17. Limitation of Liability
To the maximum extent allowed by law, Amadeuz and its owners, officers, employees, contractors, providers, licensors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; personal injury; emotional distress; reputational harm; rights claims caused by user uploads; AI-output claims; or costs of substitute services.
To the maximum extent allowed by law, Amadeuz’s total liability for any claim related to the service will not exceed the greater of the amount you paid to Amadeuz for the service in the three months before the claim arose or USD $100. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.
18. Indemnity
To the maximum extent allowed by law, you agree to defend, indemnify, and hold harmless Amadeuz and its owners, officers, employees, contractors, providers, licensors, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, expenses, settlements, penalties, and fees, including reasonable attorneys’ fees, arising from or related to:
- your use or misuse of Amadeuz;
- your User Content, prompts, uploads, companion profiles, public listings, voice recordings, transcripts, images, names, likenesses, or generated-output use;
- your violation of these Terms, platform policies, law, or third-party rights;
- your failure to obtain required rights, permissions, consents, or releases;
- claims that your companion, voice, image, persona, listing, or upload infringes or violates intellectual property, privacy, publicity, performer, contract, confidentiality, or other rights; or
- fraud, impersonation, abuse, unauthorized intimate content, payment disputes, or harmful conduct connected to your account.
19. Suspension and Termination
Amadeuz may suspend, restrict, terminate, or delete accounts, sessions, subscriptions, companions, public listings, uploaded assets, voice features, memory, outputs, or access to the service at any time if we believe there is a legal risk, rights claim, safety issue, payment issue, security threat, policy violation, harmful conduct, or operational need.
You may stop using Amadeuz at any time. Termination does not cancel obligations that arose before termination, including payment obligations, license rights needed for service operation, disclaimers, liability limits, indemnity, and rights enforcement provisions.
20. Changes to These Terms
Amadeuz may update these Terms to reflect service changes, legal requirements, pricing changes, safety practices, rights-management practices, or operational needs. Updated Terms become effective when posted or when otherwise communicated, unless a later date is stated.
Your continued use of Amadeuz after updated Terms become effective means you accept the revised Terms. If you do not accept updated Terms, you must stop using the service.
21. Contact and Legal Notices
Questions, rights complaints, impersonation reports, copyright notices, non-consensual intimate content reports, and other legal notices may be submitted through available in-product reporting tools or by contacting Amadeuz at legal@amadeuz.org.
For urgent safety issues involving minors, imminent harm, or non-consensual intimate content, use the in-product report tools where available and include enough information for Amadeuz to locate the content quickly.
